Constitution of the USA Chinese Information Technology Association

Article 1: Name
The name of this organization is the USA Chinese Information Technology Association

Article 2: Mission (Objectives)

  1. Promote knowledge exchange, cooperation and friendship among Chinese – American professionals in the information technology field, and build an information – sharing platform.
  2. Promote the development of information technology in the United States and globally, and actively participate in information technology – related research, innovation and application promotion.
  3. Enhance mutual understanding, cultural exchange and cooperation between Chinese – Americans and other ethnic groups in the information technology field.

Article 3: Membership Eligibility

  1. Regular Members
    • Any Chinese – American with an information technology – related professional background (such as having an information technology – related degree, having certain work experience in the information technology field, etc.), who identifies with the purpose of this association and passes the review by the board of directors, can become a regular member. Regular members have the right to vote, be elected and other member rights, and can participate in the management and decision – making process of the association.
    • Regular members shall pay the membership dues on time as stipulated by the board of directors.
  2. Honorary Members
    • Individuals who have made special contributions to the USA Chinese information technology field (such as making remarkable achievements in information technology research, industrial development, public welfare promotion, etc.), can become honorary members upon approval by the board of directors. Honorary members have no right to vote or be elected, but can enjoy other member benefits and can participate in specific activities of the association.
  3. Student Members
    • Chinese – American students studying information technology – related majors in the United States, who identify with the purpose of this association, can apply to become student members. Student members enjoy some member rights, such as participating in some academic exchange activities, obtaining specific learning resources, etc., and can be converted into regular members after meeting certain conditions (such as entering the information technology field after graduation).

Article 4: Rights and Duties of Members

  1. Rights
    • All members have the right to participate in various activities organized by the association, including but not limited to academic seminars, technical training, industry exhibitions, etc.
    • Regular members and honorary members have the right to participate in the management work of the association, such as running for association positions and participating in decision – making votes.
    • Members have the right to obtain the information resources provided by the association, such as industry reports, technical information, etc.
  2. Duties
    • Members shall abide by the constitution and various rules and regulations of this association.
    • Members shall actively participate in the activities organized by the association and support the development of the association.
    • Members shall pay the membership dues on time (if applicable).

Article 5: Board of Directors

  1. Composition
    • The board of directors consists of the president, vice – presidents, secretary – general, and several directors. The president is responsible for the overall leadership of the association, the vice – presidents assist the president in carrying out work, the secretary – general is responsible for the daily affairs management and coordination of the association, and the treasurer is responsible for the financial management of the association.
  2. Election
    • The members of the board of directors are elected by the general meeting of members and serve for 60years. The president can be re – elected for at most 3 terms.
  3. Responsibilities
    • The board of directors is responsible for formulating the development strategy of the association, planning the annual work plan, managing the association’s finances, reviewing the membership qualifications and other important matters. The board of directors shall hold regular meetings to discuss and make decisions on major matters of the association.

Article 6: Association Activities

  1. Academic Exchange Activities
    • Regularly hold academic seminars, invite experts, scholars and enterprise executives in the information technology field to give keynote speeches and conduct academic exchanges, so as to promote knowledge sharing and academic progress among members.
  2. Technical Training and Education
    • Carry out technical training courses for members at different levels to improve their professional skills. Cooperate with universities, training institutions, etc. to promote information technology – related education projects.
  3. Industry Cooperation and Promotion
    • Strengthen cooperation with information technology enterprises, and organize members to participate in enterprise project docking, technical cooperation and other activities. Actively promote the achievements and contributions of Chinese – Americans in the information technology field, and enhance the influence of the association in the industry.
  4. Social and Cultural Activities
    • Hold member social gatherings, cultural exchange activities, etc., to enhance the emotional connection among members and promote the inheritance and development of Chinese – American culture in the information technology field.

Article 7: Discipline and Penalties

  1. Disciplinary Requirements
    • Members shall abide by laws and regulations in association activities and daily behaviors, uphold the principles of integrity, fairness and respect, and safeguard the reputation and image of the association.
  2. Penalty Measures
    • If a member violates the constitution of this association or has behavior that harms the interests of the association, the board of directors has the right to give warnings, suspend membership, cancel membership and other penalty measures according to the severity of the circumstances, and will not refund the paid membership dues (if applicable).

Article 8: Amendment of the Constitution

  1. Amendment Proposals
    • Amendments to the constitution can be proposed by the board of directors or jointly proposed by a certain number (more than 60%) of members.
  2. Amendment Approval
    • The amendment proposal shall be reviewed by the general meeting of members and take effect after obtaining more than 60% of the members’ votes in favor.

Article 9: Dissolution of the Association

  1. Dissolution Conditions
    • When more than 60% of the members of the general meeting of members agree to dissolve or due to special reasons such as force majeure that the association cannot continue to operate, the association can start the dissolution process.
  2. Asset Disposal
    • After the association is dissolved, after paying off all debts, the remaining assets will be disposed of according to the resolution of the general meeting of members, such as donating to information – technology – related public welfare organizations or educational institutions.

第一条:名称
本组织名为美国华人信息科技协会。

第二条:使命(宗旨)

  1. 促进美国华人信息科技领域专业人士之间的知识交流、合作与友谊,构建信息共享平台。
  2. 推动美国和全球的信息科技发展,积极参与信息科技相关的研究、创新和应用推广。
  3. 增进美国华人与其他族裔在信息科技领域的相互理解、文化交流与合作。

第三条:会员资格

  1. 正式会员
    • 任何具有信息科技相关专业背景(如拥有信息科技相关学位、在信息科技领域有一定工作经验等)的美国华人,认同本协会宗旨,经董事会审查通过后,可成为正式会员。正式会员享有选举权、被选举权等各项会员权利,并可参与协会的管理和决策过程。
    • 正式会员应按董事会规定按时缴纳会费。
  2. 荣誉会员
    • 对美国华人信息科技领域有特殊贡献(如在信息科技研究、产业发展、公益推动等方面做出显著成绩)的个人,经董事会批准后可成为荣誉会员。荣誉会员无选举权和被选举权,但可享受其他会员福利,并可参与协会的特定活动。
  3. 学生会员
    • 在美国就读信息科技相关专业的华人学生,认同本协会宗旨,可申请成为学生会员。学生会员享有部分会员权利,如参与部分学术交流活动、获取特定的学习资源等,在满足一定条件(如毕业后进入信息科技领域工作)后可转为正式会员。

第四条:会员的权利和义务

  1. 权利
    • 所有会员有权参加协会组织的各类活动,包括但不限于学术研讨会、技术培训、行业展会等。
    • 正式会员和荣誉会员有权参与协会的管理工作,如竞选协会职位、参与决策投票等。
    • 会员有权获取协会提供的信息资源,如行业报告、技术资讯等。
  2. 义务
    • 会员应遵守本协会章程和各项规章制度。
    • 会员应积极参与协会组织的活动,支持协会的发展。
    • 会员应按时缴纳会费(如适用)。

第五条:理事会

  1. 组成
    • 理事会由会长、副会长、秘书长、财务长以及若干理事组成。会长负责协会的全面领导工作,副会长协助会长开展工作,秘书长负责协会的日常事务管理和协调,财务长负责协会的财务管理。
  2. 选举
    • 理事会成员由会员大会选举产生,任期[X]年。会长最多可连任[X]届。
  3. 职责
    • 理事会负责制定协会的发展战略、规划年度工作计划、管理协会财务、审核会员资格等重要事务。理事会应定期召开会议,讨论和决策协会的重大事项。

第六条:协会活动

  1. 学术交流活动
    • 定期举办学术研讨会,邀请信息科技领域的专家学者、企业高管等进行主题演讲和学术交流,促进会员之间的知识共享和学术进步。
  2. 技术培训与教育
    • 开展针对不同层次会员的技术培训课程,提升会员的专业技能。与高校、培训机构等合作,推广信息科技相关的教育项目。
  3. 行业合作与推广
    • 加强与信息科技企业的合作,组织会员参与企业项目对接、技术合作等活动。积极推广美国华人在信息科技领域的成果和贡献,提升协会在行业内的影响力。
  4. 社交与文化活动
    • 举办会员社交聚会、文化交流活动等,增进会员之间的感情联系,促进美国华人文化在信息科技领域的传承和发展。

第七条:纪律与处罚

  1. 纪律要求
    • 会员应在协会活动及日常行为中遵守法律法规,秉持诚信、公平、尊重的原则,维护协会的声誉和形象。
  2. 处罚措施
    • 若会员违反本协会章程或有损害协会利益的行为,理事会有权根据情节轻重给予警告、暂停会员资格、取消会员资格等处罚措施,并且不予退还已缴纳的会费(如适用)。

第八条:章程修订

  1. 修订提议
    • 章程的修订可由理事会提出,也可由一定数量(60%以上)的会员联名提出。
  2. 修订批准
    • 修订提议经会员大会审议,获得60%以上会员投票赞成后生效。

第九条:协会解散

  1. 解散条件
    • 在协会会员大会[X]%以上会员同意解散或因不可抗力等特殊原因无法继续运营的情况下,协会可启动解散程序。
  2. 资产处理
    • 协会解散后,在清偿所有债务后,剩余资产将按照会员大会决议进行处理,如捐赠给与信息科技相关的公益组织或教育机构等。
